1. CAN I PARTICIPATE?
Open to all legal residents of California who are between 13 and 25 years or older as of September 15, 2007, except as stated in the next paragraph and provided in paragraph 6 below.

IMPORTANT AMATEUR ATHLETIC RESTRICTIONS.
• If you currently play NCCA college sports, you are not eligible to participate in this Promotion.
• If you play California high school sports, you may not include any photos in your entry that include the name, logo or other references to your high school.
• Nike reserves the right, in its sole discretion, to eliminate any participant’s entry at any time during this Promotion if doing so may compromise a student or amateur athlete’s ability to play high school, NCAA, or other amateur sports.

2. HOW DO I ENTER?
This Promotion begins on September 15, 2007 and ends at the earlier of the date 446 participants’ photos are placed on the Wall (described below) or January 1, 2008. To enter: each participant must (1) write and upload an essay on www.letmeplay.com of 300 words or less telling us why a new sports surface should be placed in a neighborhood location he/she designates; (2) upload on Facebook, Flickr or Photobucket a photo of themselves playing their sport of choice and provide Nike with a link to that photo; AND (3) upload on Facebook, Flickr or Photobucket a photo of a potential location we could build a new surface on and provide Nike with a link to that photo, or describe the location to us if you don’t have a picture (include an address if you can).

Limit one entry per person regardless of method of entry Multiple entries submitted by a single entrant are void. Misdirected, lost, late, inaccurate, incomplete, entries are not the responsibility of Sponsor, and are void. False or deceptive entries or acts will render the entrant ineligible. Participants who disregard these Official Rules may be declared ineligible. All entries become the property of the Sponsor and will neither be returned nor acknowledged.

3. WHAT CAN I WIN?

Selected participants will be invited to:
• Attend a photo shoot in Los Angeles, date, time and place to be determined by Nike in its sole discretion, likely after May 31, 2008, where Nike will take the participant’s photo playing their sport. Selected images as decided by Nike in its sole discretion will be taken for placement on the Wall, a billboard at 939 S Figueroa Street, Los Angeles, CA 90015
• Attend a press conference in Los Angeles date, time and place to be determined by Nike in its sole discretion likely after May 31, 2008 based on the location of a new sport surface to be donated, in part, by Nike. Selected participants, as determined by Nike in its sole discretion, may be asked to describe their image placed on the Wall and the inspiration for the image.
• Attend a VIP ribbon cutting ceremony in Los Angeles, date, time and place to be determined by Nike in its sole discretion, likely after May 31, 2008 at the location of a new sport surface to be donated, in part, by Nike, such location to be determined by Nike it its sole discretion.

. Winning invitations are not transferable. Participants under 18 are invited with their parent/guardian. Dates for the photo shoot, press conference and ribbon cutting ceremony will be solely determined by Nike and are subject to change at any time. If participant is unable to attend the photo shoot, press conference and/or ribbon cutting ceremony, there will be no prize substitution. Participants are responsible for travel to and from the photo shoot, press conference and ribbon cutting ceremony.

4. HOW DO I WIN?
Each complete entry will be evaluated by Sponsor, its representatives and/or designates on a rolling basis until the end of the Promotion. The decisions of Sponsor and/or its representatives are final and binding in all matters relating to the Promotion. Entries will be evaluated by criteria such as: compelling need for sports surface or sports programming in community, creativity, clarity, thoughtfulness, and feasibility. The number of eligible entries received will determine odds of winning.

5. HOW DO I FIND OUT IF I WON?
Each potential prize winner will be notified by the email address provided on the entry form. Any potential prize winner who declines to accept the prize, has violated any of these Official Rules, does not respond to the award notification by the date(s) listed on the notification, or is found to be ineligible will be disqualified and an alternative potential prize winner shall be chosen from remaining eligible entries. Each potential prize winner (or a potential winner’s parent or legal guardian if the potential prize winner is a minor in the jurisdiction in which they reside) will be required to sign and return a Liability/Image Release within 5 days of notice or they will be disqualified and an alternative prize winner shall be chosen from remaining eligible entries. If a minor wins the prize, the prize will be awarded in the name of the minor’s parent or legal guardian who executes all required paperwork on the minor’s behalf. Each winner (or parent or legal guardian on behalf of the minor and him/herself) releases Sponsor, their affiliated companies and all employees, agents, and representatives from all liability and responsibility of any kind which is related in any way to the prize (including without limitation any property loss, damage, personal injury or death) and consents to the use of their names and likenesses, included but not limited to images from the photo shoot, for all time for any purpose in connection with Nike’s Let Me Play campaign anywhere in the world without additional compensation, except where prohibited by law.

6. WHO CAN’T PARTICIPATE?
Employees, their immediate families, and persons living in the same household as employees of Sponsor, their affiliated companies and all associated advertising and Promotion agencies of each are not eligible to win.

7. GENERAL CONDITIONS.

Void where prohibited. This Promotion is subject to all applicable Federal, State and local laws and regulations. In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Sponsor may, in its sole discretion, cancel the Promotion or suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Online entry must be made by the entrant, only at the designated web site. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial Promotion subscription notification and/or entering service sites, will be declared invalid and disqualified for this Promotion. The use of any device or computer software program to automate the entry process is prohibited. Sponsor is not responsible for: any incorrect or inaccurate entry information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network computer online systems, computer equipment, servers, providers, or software, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Promotion; inability to access any web site, theft, tampering, destruction, or unauthorized access to, or alteration of entries; transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or on any web site or printing or other errors. Proof of entering entry information at the web site is not considered proof of delivery or receipt. Illegible and incomplete entries will be disqualified. All entries become the property of Sponsor and will not be acknowledged or returned. False and/or deceptive entries or acts shall render entrants ineligible. Any information collected by registering to enter the Promotion shall be used only in a manner consistent with these Official Promotion Rules and with the NIKE USA Privacy Policy, which can be found at http://niketown.nike.com/niketown/info/privacy.jsp?item=privacy. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. A potential winner may be required to show proof of being the authorized account holder.

8. HOW DO I OBTAIN A WINNERS LIST?
To receive a list of prize winners, send a self-addressed, stamped envelope after January 1, 2008 to: Let Me Play Hotel Figueroa Wall; 3505 Hayden Ave, Culver City, CA 90232. All winners’ list requests must be received by February 1, 2008.

9. HOW WILL DISPUTES BE HANDLED?
Each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of Oregon; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with this Promotion, shall be governed by, and construed in accordance with the laws of the State of Oregon, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Oregon or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Oregon.

10. WHO IS THE SPONSOR OF THIS PROMOTION?
This Promotion is sponsored by NIKE USA, Inc., One Bowerman Drive, Beaverton, OR 97005. Sponsor reserves the right to modify or cancel this Promotion at any time and, in the event of cancellation, substitute another in its place.
